Kevin Brophy advises private equity sponsors and their portfolio companies, family offices and operating companies on upstream and midstream oil and gas transactions, including acquisitions and divestitures of energy assets, joint ventures, project financings and commercial agreements. He also represents private equity sponsors and their portfolio companies in connection with investments in the energy space, including advice and drafting of agreements related to the formation and restructuring of such investments, employee and incentive-based matters and general corporate work.
Kevin represents clients across the full range of upstream and midstream oil and gas transactions — from purchase and sale agreements (asset and equity) and joint venture arrangements to partnership agreements, limited liability company agreements, employment and consulting agreements, credit and security agreements, financing documents and other commercial contracts. His recent experience includes advising on transloading and terminal matters involving ethanol and other sustainable energy, as well as leasing and drilling for lithium.
Prior to joining Bracewell, Kevin co‑chaired the energy and infrastructure industry group at an international law firm. He also previously served as general counsel to the Kayne Anderson Energy Funds, where he advised on the structuring and execution of investments, financings and exits, as well as governance, litigation and portfolio company matters. In that role, he was closely involved in the formation and structuring of private equity funds with commitments exceeding $7 billion.
