With the recent passage of Senate Bill 29 (S.B. 29) and Senate Bill 1057 (S.B. 1057), Texas has become a destination of choice for companies looking to relocate their legal entity or start a new business. Notably, we advised SpaceX and Starlink on their move from Delaware to Texas, which involved the conversion of 15 Delaware entities — including corporations, limited liability companies and a nonprofit, nonstock foundation — to Texas entities. Over the course of this representation, we conducted a detailed analysis of the impact of Texas corporate law on SpaceX’s highly complex capital structure, which includes numerous classes and series of preferred and common stock with varying voting rights and liquidation preferences. We ultimately developed bespoke, creative solutions that preserved the rights of existing shareholders to the maximum extent possible while complying with Texas corporate law.

Bracewell also played a role in the launch of the Texas Stock Exchange (TXSE), representing the financial advisor to TXSE Group, Inc., the parent company that launched the TXSE. The New York Stock Exchange has also announced plans to reincorporate in Texas, further solidifying Texas’ position a major financial center.
