HOUSTON – Bracewell LLP represented Southern Natural Gas Company, L.L.C., a 50/50 joint venture between Kinder Morgan, Inc. (NYSE: KMI) and The Southern Company (NYSE: SO), in its Rule 144A and Reg S offering of $300 million of 5.450% Senior Notes due 2035.

Barclays, Citigroup and Truist Securities served as active joint book-running managers in the transaction.

The offering closed July 23, 2025.

Angela S. Teer, managing counsel of Kinder Morgan, and Sarah Hagy, assistant general counsel of Kinder Morgan, led the transaction for the in-house legal team.
