Rachel Goldman and David Shargel presented on “Litigating Merger Clauses Amid Courts’ Increasing Skepticism: Leveraging New Theories of Contract Interpretation” during a Strafford Webinar from 1:00 – 2:00 p.m. (EDT) on September 23, 2021. 

 

This CLE course sharpened commercial litigators’ knowledge, authority, and persuasiveness when pressing clients’ position on the meaning and applicability of “merger” clauses in contracts. The program discussed courts’ increasing reluctance to enforce merger clauses, reviewed the different ways merger clauses are construed and the parol evidence rule, suggested how to recognize potentially flawed or incongruent methodologies their judge might be using, and offered strategies to counteract them.
