Jason Lewis and Michael Brooks will present on “Compliance and Contracts: Key Compliance Considerations Related to Commodities and Derivatives Contracts” at the International Energy Credit Association 2026 Annual Conference. This panel will explore the key legal and compliance considerations involved in structuring energy and environmental commodity transactions. Topics will include contract classification for virtual power purchase agreements (VPPAs), forward renewable energy credit (REC) contracts, forward contracts, and trade options; key representations and covenants under Dodd-Frank, including eligible contract participant (ECP) status, pass-through hedge exemptions, sanctions, and anti-money laundering (AML) requirements; and confidentiality considerations across ISDA, EEI, and NAESB agreements.

Panelists will also discuss CFTC registration triggers and strategies to mitigate regulatory risk, as well as practical approaches to navigating bilateral ISDA protocol amendments and resolution stay requirements to help facilitate efficient transaction execution.
