About Charles

Clients praise Charles for his excellent judgment, responsiveness, creativity and understanding of their businesses. He combines these qualities with technical skills, gained over more than two decades of practice, to provide practical advice and solutions to help clients achieve their business objectives. In addition to maintaining an active capital markets, mergers and acquisitions, corporate governance and securities compliance practice, with a particular focus on the energy industry, Charles serves as co-chair of the firm's corporate and securities department.

Charles represents corporate and master limited partnership (MLP) issuers and investment banks in capital markets transactions, including initial public offerings, private investments in public equity (PIPEs) and other public and private offerings of common and preferred equity securities, as well as public and Rule 144A offerings of high-yield, investment-grade and convertible debt securities. He also advises clients on mergers, acquisitions and sales of public and private companies, joint ventures, private equity investments and restructuring transactions, as well as SEC reporting and disclosure obligations and corporate governance and compliance.

National Grid USA — contribution of its equity interests in Iroquois Gas Transmission System LP to Dominion Midstream Partners LP in exchange for approximately $225 million in public equity

Hill-Rom Holdings, Inc. (formerly Hillenbrand Industries, Inc.) — spin-off of Batesville Casket business

Energy & Exploration Partners, Inc. — creditor negotiations and Chapter 11 reorganization, which resulted in the elimination of almost $1 billion in debt. The bankruptcy proceeding was completed in four months and with the agreement of all creditor groups.
