About Mark

As a finance lawyer, Mark Holmes represents sponsors, lenders and borrowers with a particular focus on the upstream and midstream segments of the energy industry. Mark’s clients include private equity funds and domestic and foreign banks, as well as public and privately held companies. He assists these clients in all types of secured and unsecured debt and equity investments, including oil and gas reserve based loans, common and preferred equity investments, acquisition financings, project financings and construction loans, workouts, restructurings and DIP financings, letter of credit facilities, term loan B financings, asset based loans and structured commodity arrangements.

Named to the list of Thomson Reuters’s Texas Super Lawyers Rising Stars (2013-2015, 2017), Mark also regularly counsels companies in connection with corporate governance matters, corporate policies, acquisitions, joint venture arrangements, commercial contracts, and commodity, interest and f/x hedging arrangements.

HPS Investment Partners, LLC — project financing of a midstream joint venture project, which featured a combination of preferred equity and senior notes with the proceeds used to fund the development and construction of a cryogenic processing plant, natural gas gathering system, and crude oil gathering system in Oklahoma's STACK play

JPMorgan Chase Bank, N.A. — $300 million senior secured reserve based loan to an upstream portfolio company of Apollo

HPS Investment Partners, LLC — Bayou City Energy's preferred stock investment in an HPS portfolio company, High Mesa, Inc., the parent of Alta Mesa Holdings, LP

Wells Fargo Bank, N.A. — $300 million senior secured reserve based loan to a private equity-backed joint venture with assets located in the Delaware basin

Cadence Bank, N.A. — $180 million senior secured revolving credit facility to a midstream portfolio company of EnCap Flatrock

HPS Investments Partners, LLC — $350 million recapitalization of High Mesa, Inc. through a combination of convertible preferred stock and senior notes

Wells Fargo Bank, N.A. — $1.5 billion senior secured revolving credit facility to Tallgrass Energy Partners, LP, a publicly traded, master limited partnership that owns, operates, and develops midstream energy assets in North America

Denham-backed upstream company — $750 million first lien reserve based revolving credit facility secured by oil and gas reserves located in Texas and Louisiana

Alinda-backed midstream company — $150 million revolving and term loan credit facilities secured by a natural gas storage facility in Texas

CEU Holdings, LLC — out-of-court workout of its $70 million first lien reserve based facility

EnCap-backed upstream company — $125 million senior secured reserve based loan secured by oil and gas reserves located in Texas

Linc USA GP — financial restructuring of up to $125 million of first lien debt, including a $10 million debtor-in-possession financing

Lead arranger and administrative agent — out-of-court workout of a midstream company's $220 million senior secured revolving credit facility

Sysco Corporation — implementing its commodity, interest and fx trading programs, including advising with respect to Dodd Frank and EMIR compliance matters, and its debt and treasury management policies

Freeport-McMoRan Oil & Gas, LLC — $5.3 billion acquisition financing (revolver, term loan A and term loan B) of Gulf of Mexico interests from BP and Shell, with acquisition financing also including senior unsecured loans in an aggregate principal amount of up to $2 billion pursuant to a new senior unsecured bridge credit facility

La Paloma Generating Company, LLC — $412 million first lien and second lien term and working capital project finance facilities regarding its 1,022 MW combined-cycle electric generation facility, precious metal lease transactions and commodity and inventory financings, and negotiating raw material and customer supply contracts

El Paso Corporation and Ruby Pipeline LLC — $1.58 billion construction and term financing of the 675-mile Ruby Pipeline in the northwest United States. The financing was named Project Finance International's "Oil and Gas Deal of the Year in the Americas" and Project Finance’s "North American Oil and Gas Deal of the Year”

Freeport-McMoRan Oil & Gas, LLC — implementing its commodity hedging program, including advising with respect to Dodd Frank compliance matters

Old World Industries, Inc. — sale of its ethylene oxide/ethylene glycol manufacturing facility
