About John

John Melly’s practice focuses on mergers and acquisitions, including a wide variety of debt and equity transactions, divestitures, joint ventures and strategic alliances. He represents both buyers and sellers in a broad range of industries, including energy, insurance and manufacturing.

John has experience in the negotiation of the terms of classes of preferred stock, common stock and warrants, as well as the terms of senior, subordinated and revolving credit debt for borrowers, issuers and investors.

A certified public accountant, John worked at PricewaterhouseCoopers and Pratt & Whitney prior to his legal career.

Recent Notable Matters

Great Plains Energy Inc. — revised stock-for-stock merger of equals transaction with Westar Energy, Inc., creating a company with a combined equity value of approximately $14 billion, and with nearly 13,000 MW of generation capacity and more than 51,000 miles of distribution lines

Hydro One Limited — $5.3 billion acquisition of Avista Corporation in an all-cash transaction, establishing one of North America’s largest regulated electricity and natural gas businesses with more than $25.4 billion in combined assets

Talen Energy Corporation — $1.175 billion acquisition of MACH Gen, LLC, the holding company of three natural gas-fired power plants located in New York, Massachusetts and Arizona with a total capacity of over 2,500 MW

Duke Energy — sale of its competitive Midwest generation business to Dynegy for $2.8 billion in cash; transaction included ownership interests in 11 power plants

Integrys Energy Group, Inc. — sale of 100 percent of the stock of Upper Peninsula Power Company (UPPCO) to Balfour Beatty Infrastructure Partners LP (BBIP) for approximately $298 million
